Master Buyer Terms & Conditions • Effective Date: 6th June, 2026

These Buyer Terms & Conditions (“Terms”) constitute a legally binding agreement between you and EXPIRINGSOON LTD (collectively with its subsidiaries and affiliates, “EXPIRINGSOON”, “we”, “us” or “our”). These Terms govern your access to and use of our digital marketplace platform and services (the “Platform”). By accessing or purchasing through the Platform, you agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Platform.
1. Definitions

| "Seller" | An independent third-party business offering products for sale on the Platform. |
| "Products" | Goods listed for sale by Sellers. |
| "Near-Expiry Products" | Authentic, non-degraded goods typically within six months of their expiry, use-by, or best-before date. |
| "Goldilocks Standard" |
Safety Threshold The Platform’s safety threshold ensuring no product is sold within ten (10) days of its expiry date. |
| "Merchant of Record" | The Seller, who holds legal title to the goods and is responsible for tax collection and regulatory compliance for the sale. |
2. Role of EXPIRINGSOON (Marketplace Disclosure)
2.1 Marketplace Facilitator
EXPIRINGSOON operates solely as a digital intermediary connecting Buyers with independent Sellers.
2.2 No Ownership or Liability
EXPIRINGSOON does not sell, own, manufacture, store, or inspect Products. We do not act as the Merchant of Record for any transaction.
2.3 Contract of Sale
Every purchase creates a direct contract solely between the Buyer and the Seller. EXPIRINGSOON is not a party to this contract.
3. Product Authenticity & Near-Expiry Disclosure

3.1 Quality Assurance: Products listed are authentic, non-imitations, and unaltered.

3.2 Near-Expiry Status: Products are discounted specifically due to their proximity to an expiry date, not due to defects in quality or manufacturing.

3.3 Prohibition of Expired Goods: The sale of expired products is strictly prohibited. All products must meet the Goldilocks Standard at the time of purchase.

3.4 Buyer Awareness: You acknowledge that purchasing Near-Expiry Products involves a trade-off between price and remaining shelf life.
4. Payments & Currency
4.1 Secure Processing
Payments are handled by third-party processors (e.g., Stripe, Flutterwave). EXPIRINGSOON does not directly store sensitive card data.
4.2 Global Pricing
Prices are set by Sellers and may be displayed in local currency based on your jurisdiction (e.g. NGN, GBP, USD, EUR, AED).
5. Fulfillment: Delivery & Pickup
5.1 Seller Responsibility
Sellers are solely responsible for packing and local fulfillment within the specified 72-hour window or facilitating local pickup.
5.2 Geographic Limitation
Platform support is limited to local shipments within the Buyer’s designated "Cluster" or region.
6. Returns, Refunds & Global Consumer Rights
6.1 Final Sale Policy
Due to the time-sensitive nature of Near-Expiry Products, sales are generally final once the 10-day Goldilocks threshold is met.
6.2 Refund Eligibility
Refunds are only processed if:
- The Product violates the Goldilocks Standard at the time of delivery.
- The Product is proven to be counterfeit or non-authentic.
- The Product is physically damaged or has a broken factory seal upon handover.
6.3 Jurisdictional Overrides
UK & Europe
Where applicable, statutory withdrawal rights (e.g., EU 14-day cooling-off period) may be limited for perishable goods or goods nearing expiry as permitted by law.
US / Canada / UAE / Nigeria
Consumer rights are applied according to the local jurisdiction of the transaction.
7. No Warranties & Limitation of Liability
- 7.1 "As Is" Basis: The Platform is provided without warranties of any kind.
- 7.2 Seller Warranties: Any warranties regarding product safety, fitness for purpose, or quality are provided solely by the Seller.
- 7.3 Liability Cap: To the maximum extent permitted by law, EXPIRINGSOON’s total liability shall not exceed the fees paid by the Buyer to the Platform in the preceding twelve (12) months.
8. Governing Law & Jurisdiction
8.1 Master Governing Law: These Terms shall be governed by the laws of England and Wales for all international users, except as provided below.
8.2 Local Jurisdictional Overrides:
Nigeria
Transactions involving Nigerian residents are governed by the laws of the Federal Republic of Nigeria.
United States
Claims involving US residents shall be subject to the laws of the State of Delaware.
Middle East
Transactions in the UAE are governed by the laws of the Dubai International Financial Centre (DIFC).
