Vendor Listing Compliance Declaration

The Vendor confirms and warrants that:

• The Vendor is a legally existing individual, sole proprietor, partnership, corporation, or registered business entity.
• The Vendor possesses all required licenses, permits, registrations, and approvals necessary to conduct business within its operational jurisdictions.
• The Vendor has full legal power, corporate authority, and capacity to offer products for sale through the Expiringsoon Platform.
• The Vendor shall maintain accurate, up-to-date, and verified business information at all times.

The Vendor represents and warrants that:

• The Vendor legally owns, has clear unencumbered title to, or is legitimately authorized to sell all listed products.
• The Vendor has the full legal right to transfer unencumbered ownership and physical possession of the products to buyers upon purchase.
• No listed product is stolen, unlawfully acquired, counterfeit, diverted, restricted, or otherwise prohibited from secondary commercial sale.

• Accurate Disclosure: The expiration information provided in the platform listing is completely accurate and verifiable.
• Exact Physical Match: The displayed expiration date matches the date physically stamped or printed on the batch delivered to the buyer.
• No Alteration or Concealment: Shelf-life information is not concealed, altered, obscured, removed, modified, stickered over without statutory authority, or falsified in any manner.
• Lawful Fitness for Sale: Products offered remain fit, wholesome, safe, and lawfully suitable for commercial sale and consumer consumption under applicable laws at the time of listing, sale, and physical fulfillment.

The Vendor warrants that all listing information published on the Platform is comprehensive, truthful, and accurate, including:

The Vendor agrees to promptly update and correct any inaccurate, outdated, or incomplete listing information as soon as identified.

The Vendor expressly certifies that no product listing contains prohibited or restricted items, including but not limited to:

• All products offered for sale are currently in the Vendor's physical custody and available for immediate fulfillment.
• Listed inventory quantities are accurate, continuously updated, and synchronized.
• Overselling practices, phantom stock, and backorders shall be strictly avoided.
• Physical order fulfillment, shipping, and dispatch can occur reliably within the timeframes represented to buyers on the Platform.

The Vendor warrants that:

• All marketing statements, product descriptions, and promotional representations are truthful and accurate.
• All product efficacy, quality, and therapeutic claims are legally substantiated with credible evidence.
• No misleading, deceptive, false, exaggerated, or unverified claims are made in listings or marketing assets.
• Any comparative advertising or pricing comparisons comply fully with applicable fair trade and competition laws.

The Vendor agrees to maintain complete, auditable business records supporting compliance, including:

The Vendor shall immediately notify Expiringsoon in writing within twenty-four (24) hours if:

• A product listed on the Platform is subject to a manufacturer or regulatory recall;
• A government regulator issues a public health alert, warning, or inspection notice;
• A serious safety, contamination, or adverse health concern arises;
• A critical quality or labeling compliance failure is identified;
• A product becomes unlawful or unapproved to sell in any platform market.

The Vendor agrees to defend, indemnify, and hold harmless Expiringsoon, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, contractors, shareholders, and partners from and against any third-party claims, losses, damages, liabilities, penalties, fines, regulatory enforcement actions, judgments, costs, or legal expenses (including reasonable attorney fees) arising directly or indirectly from:

The Vendor acknowledges and agrees that this Declaration constitutes a continuing legal obligation that remains continuously effective, binding, and re-warranted throughout the Vendor's entire duration of platform use and product listing.

Any corporate, legal, or supply-chain change that impairs or alters compliance with this Declaration must be disclosed to Expiringsoon immediately in writing.
